1. Acceptance of Terms

By accessing or using the NIF Billing Solutions LLC Pro website, platform, or services (collectively, the "Services"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you may not access or use our Services.

These Terms constitute a legally binding agreement between you ("Client," "you," or "your") and NIF Billing Solutions LLC Pro ("Company," "we," "us," or "our"). By using our Services, you represent that you have the authority to bind your organization to these Terms.

2. Description of Services

NIF Billing Solutions LLC Pro provides medical billing and revenue cycle management services, including but not limited to:

• Medical claim preparation, submission, and tracking
• Insurance eligibility verification and authorization management
• Medical coding and code auditing (CPT, ICD-10, HCPCS)
• Payment posting and accounts receivable follow-up
• Denial management and appeals processing
• Provider credentialing and enrollment services
• Reporting and analytics dashboards
• Virtual assistant and AI-powered tools

We reserve the right to modify, suspend, or discontinue any part of our Services at any time, with reasonable notice to clients.

3. Eligibility

To use our Services, you must:

• Be at least 18 years of age
• Have the legal authority to bind your healthcare organization
• Provide accurate and complete registration information
• Maintain appropriate licenses and certifications to provide healthcare services
• Comply with all applicable laws and regulations, including HIPAA

We reserve the right to verify your credentials and deny service to any individual or entity at our sole discretion.

4. User Accounts

Account Registration

To access certain features of our Services, you must create an account. You agree to provide accurate, current, and complete information during registration and to update it promptly if changes occur.

Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

• Notify us immediately of any unauthorized access or security breach
• Use strong passwords and enable multi-factor authentication where available
• Not share your account credentials with unauthorized individuals

We are not liable for any loss or damage arising from your failure to protect your account.

5. Fees and Payments

Pricing

Our fees are based on the pricing model selected in your service agreement, which may include:

• Percentage of collections (typically 3.5% - 4.9% of collected revenue)
• Flat monthly or per-claim fees
• Custom enterprise pricing

Payment Terms

Invoices are due within 15 days of receipt. Late payments may incur interest at 1.5% per month or the maximum allowed by law. We reserve the right to suspend Services for non-payment after 30 days' notice.

Refund Policy

Fees for services rendered are non-refundable. If you cancel your service agreement, you remain responsible for all fees incurred up to the cancellation date.

6. Client Obligations

As a client of NIF Billing Solutions LLC Pro, you agree to:

• Provide accurate and complete patient and billing information in a timely manner
• Respond promptly to requests for additional information or documentation
• Maintain appropriate professional liability insurance
• Comply with all applicable laws, regulations, and payer requirements
• Notify us of any changes to your practice, locations, or provider roster
• Cooperate with audits and compliance reviews

Failure to meet these obligations may result in service delays, additional fees, or termination of services.

7. HIPAA Compliance

NIF Billing Solutions LLC Pro is fully committed to HIPAA compliance. As a business associate, we:

• Sign Business Associate Agreements (BAAs) with all covered entity clients
• Implement administrative, physical, and technical safeguards for protected health information (PHI)
• Report security incidents and breaches as required by law
• Limit use and disclosure of PHI to the minimum necessary
• Provide breach notification in accordance with HIPAA and HITECH

You agree to execute our standard BAA and to notify us immediately of any security incident involving PHI shared with us.

8. Intellectual Property

All content, features, and functionality of our Services, including but not limited to software, algorithms, dashboards, reports, trademarks, logos, and proprietary technology, are owned by NIF Billing Solutions LLC Pro or our licensors and are protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to use our Services for your internal business purposes. You may not:

• Copy, modify, or create derivative works of our Services
• Reverse engineer, decompile, or disassemble any part of our platform
• Use our Services to build a competitive product or service
• Remove any copyright or proprietary notices

9. Confidentiality

Both parties agree to maintain the confidentiality of each other's proprietary information, including but not limited to business processes, financial data, patient information, and trade secrets. This obligation survives termination of these Terms for a period of five (5) years.

Confidential information does not include information that is:

• Publicly available through no fault of the receiving party
• Rightfully obtained from a third party without restriction
• Independently developed without use of confidential information
• Required to be disclosed by law or court order

10. Termination

Termination by Either Party

Either party may terminate this agreement with thirty (30) days' written notice. Upon termination, you remain responsible for all fees incurred up to the termination date.

Termination for Cause

We may terminate or suspend your access immediately, without notice, for:

• Material breach of these Terms (including non-payment)
• Violation of HIPAA or other applicable laws
• Fraudulent or illegal activity
• Actions that may harm our reputation or other clients

Effect of Termination

Upon termination, we will provide you with a copy of your data in a standard format within thirty (30) days. We may retain archived data as required by law or our data retention policies.

11. Warranty Disclaimer

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
• WARRANTIES THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE
• WARRANTIES REGARDING THE ACCURACY OR RELIABILITY OF ANY INFORMATION PROVIDED

We do not guarantee that claims will be paid or that specific reimbursement amounts will be achieved. Billing outcomes depend on many factors outside our control, including payer policies and patient coverage.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NIF Billing Solutions LLC PRO AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST REVENUE, OR LOST DATA, ARISING FROM OR RELATED TO YOUR USE OF OUR SERVICES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF OUR SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold harmless NIF Billing Solutions LLC Pro and its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

• Your violation of these Terms
• Your violation of any applicable law or regulation, including HIPAA
• Your use of our Services in a manner not expressly authorized
• Any dispute between you and your patients or payers
• Your negligence or willful misconduct

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of laws principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in New York County, New York.

15. Dispute Resolution

Informal Resolution

Before filing a formal claim, you agree to contact us to attempt to resolve the dispute informally. We will make a good faith effort to resolve any dispute within thirty (30) days.

Binding Arbitration

Any dispute not resolved informally shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be held in New York, NY, and judgment on the arbitration award may be entered in any court having jurisdiction.

Class Action Waiver

YOU AGREE TO ARBITRATE CLAIMS INDIVIDUALLY AND WAIVE THE RIGHT TO PARTICIPATE IN A CLASS ACTION OR REPRESENTATIVE ACTION. Arbitration shall be conducted on an individual basis only.

16. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by:

• Posting the updated Terms on this page with a new "Last Updated" date
• Sending email notification to registered users
• Displaying a notice on our website or platform

Your continued use of our Services after changes become effective constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using our Services.
